1. Agreement

These Terms govern access to and use of RareFourth Hire's website and interview-evaluation services (the "Services"). By using the Services or taking an interview through them, you agree to these Terms. If you are accepting on behalf of an employer, you represent that you have authority to bind that organization ("Client").

2. The Services

RareFourth provides interview-evaluation services to Clients. We conduct AI-led, proctored interviews of candidates and deliver evaluations, scorecards, and recommendations. RareFourth provides recommendations only; all employment decisions are made solely by the Client.

3. Client responsibilities

As a Client, you agree to:

• Obtain all necessary rights and consents from candidates before directing them to us, and issue candidates any legally required notices. As Data Fiduciary, the Client is responsible for valid notice and consent before candidates are directed to us.
• Use evaluations lawfully and without unlawful discrimination, and comply with applicable Indian laws including the DPDP Act, 2023 and the IT Act, 2000.
• Make final hiring decisions yourself, applying human judgment, and not rely on our recommendation as the sole basis for an adverse decision where human involvement is required.
• Keep account credentials secure and use the Services only for genuine hiring for your own organization.

4. Candidate conduct

If you are a candidate, you agree to complete the interview honestly and without assistance, impersonation, unauthorized devices, or other prohibited conduct, and you acknowledge the interview is monitored for integrity as described in the Privacy Policy and AI Terms.

5. Acceptable use

You may not: interfere with or attempt to disrupt the Services; reverse-engineer, scrape, or copy the platform or its outputs beyond your permitted use; misrepresent your identity; or use the Services unlawfully.

6. Intellectual property

The platform, models, rubrics, scoring methods, and all related software and content are owned by RareFourth (or its licensors). Evaluation reports delivered to a Client may be used by that Client for its internal hiring purposes; all other rights are reserved. You may not resell or redistribute our outputs.

7. Fees

Fees, scope, and payment terms are set out in the applicable order form or agreement between RareFourth and the Client. Taxes will be charged as applicable. Website visitors and candidates are not charged.

8. Confidentiality

Each party will protect the other's non-public information and use it only to perform under these Terms.

9. Disclaimers

The Services are provided "as is." Interview evaluations are assessments and recommendations, not guarantees of any candidate's performance, suitability, honesty, or fitness for a role. To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the maximum extent permitted by law, RareFourth will not be liable for indirect, incidental, special, consequential, or punitive damages, or for hiring decisions made by a Client. Our total aggregate liability arising out of the Services is limited to the amounts paid to us for the Services in the [twelve (12) months] preceding the claim.

11. Indemnity

Clients agree to indemnify RareFourth against claims arising from the Client's hiring decisions, its instructions to us, or its failure to obtain required candidate consents or provide required notices.

12. Term and termination

We may suspend or terminate access for breach of these Terms or as required by law. Client engagements may be terminated as set out in the applicable agreement.

13. Governing law and disputes

These Terms are governed by the laws of India. The courts at [City], India shall have exclusive jurisdiction, subject to any arbitration under the Arbitration and Conciliation Act, 1996 seated at [City].

14. Changes

We may update these Terms; continued use after changes constitutes acceptance.
